Phase 1 — Construction & Operation

The investor finances construction and operation of the station through the SPV. The municipality bears no initial costs — it provides feedstock, site and permitting cooperation.

Phase 2 — Municipality Entry

After investment repayment, the municipality has the option to enter as a minority co-owner of the SPV. The investor retains a stake with ongoing returns. COMUNERGY provides network management and franchise support.

Investors enter project-specific SPVs. Each station operates as an independent unit with its own cash flow. Details on equity structure and SHA (Shareholders' Agreement) are shared under NDA.
